Special Licence Conditions Webapplication DEHNplan Viewer

- Applicability
1.1. These Special Licence Conditions (hereinafter “SLC”) apply to the use of the Webapplication DEHNplan Viewer provided by DEHN SE, Hans-Dehn-Straße 1, 92318 Neumarkt, Germany (hereinafter “DEHN”) under the Webapplication DEHNproject, including all functions accessible via DEHNplan Viewer (hereinafter all of these together referred to as the “Services”).
1.2. In addition to these SLC the “General Terms of Use DEHN-Web-Account and Webapplications” (“GTU”) and the “Special Terms of Use Webapplication DEHNproject” (“STU”) apply.
1.3. DEHN reserves the right to amend these SLC with effect for the future at any time without giving reasons. DEHN will inform its Customers of amendments in a suitable form (e.g. by email sent to the email address provided during registration). Each Customer has the right to terminate the user agreement for DEHNplan Viewer within 4 (four) weeks of receipt of the amendment notification from DEHN. If the Customer does not terminate the user agreement within this period, the amended version of the SLC will be deemed to have been accepted. DEHN will point out the significance of the 4-week period to the Customer separately in the amendment notification. Clause 4.8 of the GTU applies to amendments to these SLC which have effects on the Services provided by DEHN and which reduce the functionality of the Services in a decisive manner.
Conclusion of agreements
2.1. Use of the Services requires the Customer’s agreement to these SLC and the booking of at least one licence package for the Webapplication DEHNplan Viewer.
2.2. Licence packages for the Webapplication DEHNplan Viewer can only be booked for the Customer by the Webapplications-Administrator of the Webapplication DEHNproject acting on behalf of the Customer. The assignment of roles and rights for the Webapplication DEHNplan Viewer is controlled by the user administration integrated in the Webapplication DEHNproject. The Webapplications-Administrator of the Webapplication DEHNproject is also the Webapplications-Administrator for the Webapplication DEHNplan Viewer (hereinafter “Webapplications-Administrator”).
2.3. Licence packages for the Webapplication DEHNplan Viewer can be booked using the booking form provided by DEHN. Once the Webapplications-Administrator has filled in all of the mandatory fields and has agreed to these SLC on behalf of the Customer, the Webapplications-Administrator can send the booking to DEHN. The user agreement for the Webapplication DEHNplan Viewer is concluded between the Customer and DEHN on receipt of the first booking for a licence package for the Webapplication DEHNplan Viewer with DEHN.
2.4. After a successful booking in accordance with clause 2.3, the Webapplications-Administrator is entitled to use the Services via the Webapplications-Account.
2.5. The Webapplications-Administrator can grant employees of the Customer authorisation for use of the Webapplication DEHNplan Viewer within the scope of the booked licences.
2.6. A requirement for the use of DEHNplan Viewer as an Authorised User is that a Webapplications-Useraccount for DEHNproject has been opened for the Authorised User in accordance with clauses 2.5 and 2.6 of the STU and that this Webapplications-Useraccount has not been deactivated in accordance with clause 9.2 of the STU.
Use of the Services
3.1. In addition to the minimum requirements set out in clause 3.1 of the GTU, the use of the Services requires access of the Customer to at least one DEHNplan-drawing created using the Webapplication DEHNplan provided by DEHN. The use of the Webapplication DEHNplan provided by DEHN, requires booking of additional license packages for the Webapplication DEHNplan.
Services provided by DEHN
4.1. The content, scope and quality of the Services is set out exclusively in the Specification of Services available at https://www.dehn-international.com/en/products/services/dehnproject/scope-of-work.
Rights of Use
5.1. Once a booking has been made in accordance with clause 2.3, for the term of the user agreement DEHN grants the Customer a non-exclusive and non-transferable right, limited in time, which cannot be sublicensed, to use the Webapplication DEHNplan Viewer in accordance with the provisions of these SLC, the STU and the GTU.
5.2. The scope of the rights of use granted for the Webapplication DEHNplan Viewer, such as, in particular, the maximum number of Authorised Users using the Webapplication DEHNplan Viewer simultaneously and the storage space available in the Webapplication DEHNplan Viewer, is determined on the basis of the licence packages booked by the Customer.
Fees
6.1. The fees due for the Services are calculated on the basis of the prices stated at the time when the licence packages are booked
6.2. DEHN reserves the right to adjust the fee model from time to time. Adjustments only apply when extending or booking new licence packages. Ongoing licence packages are not affected by the adjustments. DEHN will inform the Customer in due time of fee adjustments – at least 6 (six) weeks before the adjustment – so that the Customer, should it not agree to the fee adjustment, can terminate the respective licence package in accordance with clause 7.3 with effect from the end of the term.
6.3. Discounts offered by DEHN when booking a license package for the first time or extending a license package are valid only once for a term of 12 (twelve) month.
6.4. If licence packages are booked, the duty to make payment results at the time of the booking.
6.5. The duty to pay the fees owed applies regardless of whether the Services are actually used.
6.6. For the event that the Services cease being provided in accordance with clause 4.7 of the GTU, DEHN will reimburse the Customer the fees already paid for the remaining term(s) of the licence packages booked during which the Customer can no longer use the Services as a result of the fact that they are no longer being provided.
6.7. The fees to be paid are due for immediate payment without deductions on receipt of the invoice.
6.8. If the Customer defaults with payment, DEHN has right to claim default interest of 8 % points above the respective base interest rate in accordance with section 288 German Civil Code (Bürgerliches Gesetzbuch – BGB). If DEHN can prove higher default damage, DEHN has a right to claim this higher amount. The Customer has a right to prove that DEHN incurred lower default damage.
6.9. Notwithstanding the provision in clause 6.8, in the case of non-payment or late payment of fees owed, DEHN can block access of the Customer, the Webapplications-Administrator and the Authorised Users to the affected Webapplication DEHNplan Viewer. DEHN's rights under clause 8.9 of the GTU remain unaffected.
6.10. The Customer does not have the right to offset counterclaims (i) disputed by DEHN or (ii) which are not final and absolute or to assert a right of retention in this respect.
Term and termination
7.1. The user agreement for the Webapplication DEHNplan Viewer runs for an unlimited term. It only ends when the Customer has terminated all of the licence packages.
7.2. Each licence package for DEHNplan Viewer has a term of 12 (twelve) months. The term begins when the licence package is booked in accordance with clause 2.3.
7.3. The term of a licence package is automatically extended on expiry of the term by a further 12 (twelve) months unless the Customer terminates the licence package ordinarily with notice with effect from the end of the term.
7.4. In all other respects ordinary termination of licence packages by the Customer is excluded.
7.5. On termination of the user agreement for the Webapplication DEHNplan Viewer, access of the Customer, the Webapplications-Administrators and the Authorised Users to the Webapplication DEHNplan Viewer affected by the termination will be blocked. The data saved in the Webapplication DEHNplan Viewer will remain saved as long as the respective Webapplications-Account for DEHNproject is active. Four (4) weeks after termination of the user agreement for the Webapplication DEHNproject, the data saved in DEHNplan Viewer will also be deleted. During these 4 (four) weeks, DEHN will make it possible for the Customer to export the content contributed by the Customer in a customary standard format.
