Special Terms of Use Webapplication DEHNsphere

1. Scope
1.1 These Special Terms of Use (hereinafter "STU") apply to the use of the Webapplication DEHNsphere provided by DEHN SE, Hans-Dehn-Straße 1, 92318 Neumarkt, Germany (hereinafter "DEHN") under the DEHN-Web-Account, including all functions accessible via DEHNsphere and the additional functions accessible after purchasing licence packages (hereinafter collectively referred to as "Services").
1.2 In addition to these STU the "General Terms of Use DEHN-Web-Account and Webapplications" ("GTU").
1.3 The respective Special Licence Conditions (hereinafter "SLC") apply in addition to these STU to the use of other functions provided under DEHNsphere. These SLC must be agreed to separately before using the other functions provided under DEHNsphere.
1.4 DEHN reserves the right to amend these STU with effect for the future at any time without giving reasons. DEHN will inform its Customers of amendments in a suitable form (e.g. by e-mail sent to the e-mail address provided during registration). Each Customer has the right to terminate the user agreement for DEHNsphere within 4 (four) weeks of receipt of the amendment notification from DEHN. If the Customer does not terminate the user agreement within this period, the amended version of the STU will be deemed to have been accepted. DEHN will point out the significance of the 4-week period to the Customer separately in the amendment notification.
2. Conclusion of agreements and registration of accounts
2.1 Use of the Services requires a Webapplications-Account for DEHNsphere and the Customer's agreement to these STU.
2.2 A Webapplications-Account for DEHNsphere is a prerequisite for the use and booking of licence packages for the other functions provided under DEHNsphere. Only after registration of a Webapplications-Account for DEHNsphere can the Customer conclude user agreements for other functions provided under DEHNsphere by booking licence packages. Licence packages for other functions provided under DEHNsphere can only be booked by a Webapplications-Administrator of the Webapplication DEHNsphere and/or by an Authorised User of the Webapplication DEHNsphere who has been granted the corresponding rights for this purpose following the initial login.
2.3 Webapplications-Accounts for DEHNsphere can be registered using the registration form provided by DEHN. Once the Webapplications-Administrator has filled in all of the mandatory fields and has agreed to these STU on behalf of the Customer, the Webapplications-Administrator can send the registration request to DEHN. A prerequisite for submitting the registration request is that the Customer already has a DEHN customer number. If a DEHN customer number has not yet been created for the Customer, the Customer must apply to DEHN for one. The Customer can apply for a customer number as part of the registration request. Submitting a request does not entitle the Customer to be issued with a customer number. By sending the registration request, the Webapplications-Administrator submits a binding offer to conclude the user agreement for the Webapplication DEHNsphere on behalf of the Customer. The registration request is then checked by DEHN and – if no existing customer number was provided in the registration request – DEHN may, at its discretion, assign a customer number to the Customer. If the offer is accepted, DEHN will send an electronic confirmation to the Webapplications-Administrator's email address. This confirmation email constitutes acceptance of the offer to conclude the user agreement for the Webapplication DEHNsphere.
2.4 The confirmation of registration contains a hyperlink. The Webapplications-Administrator can log in for the first time using this hyperlink.
2.5 The confirmation of registration in clause 2.4 neither gives rise to a user agreement for the other functions provided under DEHNsphere, nor is there a right to use other functions provided under DEHNsphere. Use of the other functions provided under DEHNsphere requires a separate user agreement to be concluded in each case by booking licence packages and, in addition to these STU, is subject to the respective GTU and SLC which also apply.
2.6 The Webapplications-Administrator can grant employees of the Customer authorisation for use of DEHNsphere under the existing Webapplications-Account. For this the Webapplications-Administrator can open Webapplications-Useraccounts for Authorised Users. In addition to write and read permissions in DEHNsphere, the Webapplications-Administrator can also grant Authorised Users the same rights to which they are entitled as a Webapplications-Administrator; in particular, this includes the right to terminate the Webapplications-Account for DEHNsphere, to book or terminate licence packages for other functions provided under DEHNsphere, to authorise additional employees of the Customer to use DEHNsphere, to authorise additional employees of the Customer as equivalent Webapplications-Administrators or to invite additional persons. If an Authorised User is granted the same rights by the Webapplications-Administrator, that Authorised User is also deemed to be a Webapplications-Administrator for the purposes of these STU and the SLC. Any person designated as an Authorised User with the same rights as a Webapplications-Administrator must be an employee of the Customer and must be sufficiently authorised to enter into usage agreements for other functions provided under DEHNsphere by booking licence packages, or to terminate such usage agreements or the Webapplications-Account for DEHNsphere on behalf of the Customer.
2.7 The prerequisite for use of a Webapplications-Useraccount is that the Authorised User has registered for a DEHN-Web-Account in accordance with clauses 2.3 to 2.6 of the GTU.
2.8 The Webapplications-Administrator can invite additional persons under the existing Webapplications-Account to use DEHNsphere on a temporary basis. For this the Webapplications-Administrator can create Webapplications-Guestaccounts for Guests.
2.8.1 To use a Webapplications-Guestaccount, the Guest must have access to a DEHN-Web-Account belonging to another customer.
2.8.2 The Webapplications-Administrator can only grant Guests read permissions. Guests cannot be granted write permissions or the rights to book and terminate licence packages for other functions provided under DEHNsphere or to terminate the Webapplications-Account for DEHNsphere.
2.9 For the avoidance of doubt, a user agreement is not concluded between DEHN on the one hand and Webapplications-Administrators, Authorised Users or Guests on the other hand.
3. Use of the Services
3.1 In addition to the minimum requirements set out in clause 3.1 of the GTU, to use the Services the Customer must have access authorisation to at least one smart DEHN-Device listed in the Specification of Services available at https://www.dehn-international.com/en/solutions/energy/wind-power/dehnsphere/dehnsphere-service-description with a connection to the DEHNsphere-Cloud and an internet connection and a data transfer rate sufficient to transmit the data.
3.2 The Customer is responsible for ensuring that the technical requirements for accessing and using the Services are established and maintained within its area. This also includes the correct installation, use, maintenance and operation of the relevant smart DEHN-Device.
4. Services provided by DEHN
4.1 The content, scope and quality of the Services is set out exclusively in the Specification of Services available at https://www.dehn-international.com/en/solutions/energy/wind-power/dehnsphere/dehnsphere-service-description.
4.2 The Services are exclusively intended as assistance or support for the Customer's business operations and are no substitute for independent inspection and critical assessment by the Customer and its employees to ensure the smart DEHN-Devices have measured and recorded the data correctly and completely. Proper and regular maintenance of installations fitted with a smart DEHN-Device is the sole responsibility of the Customer and/or owner and/or operator of the installations and must be carried out independently of the data measured and recorded by a smart DEHN-Device. The decision to carry out unscheduled inspectionsof installations fitted with a smart DEHN-Device rests solely with the Customer and/or the owner and/or operator of the installations, and this decision must be made independently of the data measured and recorded by a smart DEHN-Device. The Services do not relieve the Customer and/or the owner and/or the operator of the installations of the responsibility for its installations fitted with a smart DEHN-Device.
4.3 DEHN reserves the right to use subcontractors to provide the Services.
5. Rights of use
5.1 With the confirmation of registration in accordance with clause 2.3, DEHN grants the Customer for the term of the user agreement the non-exclusive, non-transferable right, limited in time, which cannot be sublicensed, to use DEHNsphere in accordance with these STU and the GTU.
5.2 The Customer grants DEHN a non-exclusive, unrestricted in terms of territory, right of use in the data and information saved in the DEHNsphere-Cloud under its Webapplications-Accounts, Webapplications-Useraccounts and Webapplications-Guestaccounts for the purposes set out in these STU. This right of use extends to all data and information saved in the DEHNsphere-Cloud by smart DEHN-Devices that the Customer has connected to the DEHNsphere-Cloud, in particular to the data listed in the Specification of Services available at https://www.dehn-international.com/en/solutions/energy/wind-power/dehnsphere/dehnsphere-service-description for the respective smart DEHN-Devices. DEHN is entitled to collect, reproduce, process, use and save this data and information for the purpose of providing the Services as well as to pass it on to service providers.
5.3 DEHN reserves the right to use, evaluate and save the data and information saved in the DEHNsphere-Cloud during and after the end of the user relationship for the purpose of improving the Services, to develop new functions and/or products or for statistical purposes. Data or information will only be made available or passed on to third parties if these third parties are subcontractors or advisors of DEHN who are subject to confidentiality.
5.4 DEHN is entitled to use, further develop or pass on data obtained in connection with the provision of the Services for the purpose of improving the Services, to develop new functions and/or products or for statistical purposes. The data obtained will only be published in an aggregated, anonymised and pseudonymised form.
5.5 DEHN does not use the data and information saved in the DEHNsphere-Cloud to draw conclusions about the Customer’s financial situation, assets or production methods; nor does DEHN disclose this data and information to third parties for this purpose.
5.6 The Customer is responsible for ensuring that no rights of third parties are infringed (e.g. copyrights or know-how protection) by the contractually agreed use of the data and information saved in the DEHNsphere-Cloud under its Webapplications-Accounts, Webapplications-Useraccounts and Webapplications-Guestaccounts.
5.7 If third parties (including Webapplications-Administrators, Authorised Users, invited Guests and other customers) assert rights in or with regard to the data and information saved in the DEHNsphere-Cloud under the Customer’s accounts, the Customer will indemnify DEHN against all claims and costs and expenses resulting from legal defence measures. Further-reaching rights of DEHN, regardless of the legal grounds for these, remain unaffected – including the right to compensation and the right to exclude Webapplications-Administrators, Authorised Users, invited Guests and other customers, who assert the aforementioned rights, from the use of DEHNsphere.
6. Fees
6.1 DEHN will provide the Customer with use of the Webapplications-Account for DEHNsphere free of charge in accordance with the provisions of these STU.
6.2 Deviating fee provisions can apply for the use of other functions provided under DEHNsphere.
7. Liability
7.1 DEHN will be liable without limitation in cases of injury to persons, for fraudulent intent and for all damages caused with intent or gross negligence by DEHN's statutory representatives or vicarious agents.
7.2 In all other respects DEHN is only liable in principle for breaches of material contractual obligations if DEHN is responsible for the breach. Material contractual obligations are contractual obligations which are essential to proper performance of the agreement and on the fulfilment of which the other party is generally entitled to rely and breach of which puts fulfilment of the purpose of the agreement at risk. Liability for breaches of such material contractual obligations is limited in terms of amount to the typical loss foreseeable at the time the agreement is concluded.
7.3 The upper limit for foreseeable typical losses for breaches of material contractual obligations of the user agreement for the Webapplication DEHNsphere and the other functions provided under DEHNsphere is a sum of EUR 15,000.00 per damage event.
7.4 In all other respects DEHN's liability for damage caused negligently is excluded. This also applies for the benefit of DEHN's statutory representatives and vicarious agents.
7.5 The aforementioned limitations of liability do not apply to cases where DEHN expressly assumes an express guarantee or to cases of liability under the German Product Liability Act (Produkthaftungsgesetz – ProdHaftG).
7.6 Strict liability for compensation for defects which existed at the time when the agreement was concluded is excluded.
7.7 Compensation claims against DEHN and its statutory representatives and vicarious agents lapse as a matter of principle one year after they arise. Excluded from this are the cases mentioned in clause 7.1 and liability under the German Product Liability Act (Produkthaftungsgesetz – ProdHaftG).
8. User administration, deactivation of Webapplications-Useraccounts and Webapplications-Guestaccounts
8.1 The assignment of roles and rights for the Webapplication DEHNsphere, as well as for the other functions provided under DEHNsphere, is controlled by the user administration of the Services.
8.2 Following initial login, the Webapplications-Administrator can grant one or more Authorised User(s) write. read and administrative rights equivalent to a Webapplications-Administrator in accordance with clause 2.6 on behalf of the Customer. If an Authorised User is granted the same rights as a Webapplications-Administrator, that Authorised User is also deemed to be a Webapplications-Administrator for the purposes of these STU and SLC. The Webapplications-Administrator(s) have the assigned role and its associated rights throughout all the Services; a Webapplications-Administrator has the role and its associated rights both within the Webapplication DEHNsphere and within the functions provided under the Webapplication DEHNsphere.
8.3 The Customer is entitled to deactivate the account of the Webapplications-Administrator who carried out the registration. This is subject to the condition that, prior to deactivation, at least one Authorised User has been granted rights equivalent to those of a Webapplications-Administrator, in accordance with clause 2.6. The Customer is entitled to deactivate Webapplications-Useraccounts that are equivalent to a Webapplications-Administrator. There must be at least one (1) Webapplications-Administrator for the term of the Services.
8.4 The Customer can deactivate its Webapplications-Useraccounts and Webapplications-Guestaccounts set up under its Webapplications-Account at any time without notice.
8.5 In the event that Authorised Users and/or Webapplications-Administrators leave the company of the Customer, or the access rights of the Authorised Users and/or Webapplications-Administrators are to be revoked for other operational reasons, the Customer is responsible for deactivating the Webapplications-Useraccounts set up under its Webapplications-Account.
8.6 In the event that the access rights of Guests are to be revoked, the Customer is responsible for deactivating the Webapplications-Guestaccounts set up under its Webapplications-Account.
8.7 If deactivation or transfer is not possible in the cases according to clauses 8.3 to 8.6 for technical or any other reasons, the Customer must notify DEHN immediately.
9. Term and termination
9.1 The user agreement for the Webapplications-Account for DEHNsphere runs for an unlimited term.
9.2 The Customer can terminate the user agreement for the Webapplications-Account for DEHNsphere at any time without observing a notice period in accordance with the following clauses 9.3 and 9.4.
9.3 If, under the Webapplications-Account for DEHNsphere, the Customer has concluded user agreements for other functions provided under DEHNsphere by booking licence packages, termination of the user agreement for the Webapplications-Account for DEHNsphere automatically leads to simultaneous termination of all user agreements of the Customer for the other functions subscribed for under DEHNsphere.
9.4 If, under a Webapplications-Account for DEHNsphere, the Customer has concluded user agreements for other functions provided under DEHNsphere with a specific term by booking licence packages for a fee, termination of the user agreements of the Customer for these other functions subscribed for under DEHNsphere will only take effect, deviating clause 9.3, until expiry of the respective term. Termination of the user agreement for the Webapplications-Account for DEHNsphere will simultaneously only take effect when the last fee-based user agreement for the functions subscribed for under DEHNsphere comes to an end. The Webapplications-Account for DEHNsphere will remain active until the last fee-based user agreement of the functions subscribed for under DEHNsphere comes to an end. The user agreements for the fee-based functions subscribed for under DEHNsphere, whose term has not yet expired, will remain in force until expiry of the respective fee-based term. During the period between receipt and when the termination takes effect, the Customer will be unable to conclude any further user agreements for DEHNsphere under the affected Webapplications-Account by booking licence packages for other functions provided under DEHNsphere.
9.5 Where there is only one (1) Webapplications-Administrator for DEHNsphere, clauses 8.3 and 8.4 of the GTU shall apply mutatis mutandis. Termination of the DEHN-Web-Account associated with the Webapplications-Administrator will, in particular, lead to automatic termination of the Webapplication DEHNsphere subscribed for under this DEHN-Web-Account (in accordance with clause 8.3 GTU); alternatively, if user agreements of the Customer exist for other functions provided under DEHNsphere, termination of the DEHN-Web-Account associated with the Webapplications-Administrator will, in particular, also lead to termination of all the Customer's user agreements for the other functions subscribed for under DEHNsphere, with the proviso, however, that both termination of the Webapplication DEHNsphere and termination of the Customer's user agreements for the other functions subscribed for under DEHNsphere will only become effective upon expiry of the respective term (in accordance with clause 8.4 GTU).
9.6 Where there are at least two (2) Webapplications-Administrators for DEHNsphere, clauses 8.3 and 8.4 of the GTU shall not apply. Termination of the DEHN-Web-Account of a Webapplications-Administrator will have no effect on the term of the Webapplication DEHNsphere of the Customer or on the Customer's user agreements for the other functions subscribed for under DEHNsphere. The account for the use of the Webapplication DEHNsphere, as well as the access to the other functions subscribed for under DEHNsphere by the terminating Webapplications-Administrator, will be deactivated simultaneously with termination of the DEHN-Web-Account.
9.7 On termination of the user agreement for DEHNsphere, the Customer's Webapplications-Account for DEHNsphere, all Webapplications-Useraccounts opened under that Webapplications-Account and all Webapplications-Guestaccounts opened under that Webapplications-Account will be deactivated. The data saved in the DEHNsphere-Cloud will be deleted after expiry of four (4) weeks after the user agreement has come to an end. During these 4 (four) weeks, DEHN will make it possible for the Customer to export the content contributed by the Customer in a customary standard format.
