DEHNsphere License Terms

1. Applicability
1.1 These Special Licence Conditions (hereinafter “SLC”) apply to the use of the other additional functions provided by DEHN SE, Hans-Dehn-Straße 1, 92318 Neumarkt, Germany (hereinafter “DEHN”) under the Webapplication DEHNsphere following the booking of licence packages for smart DEHN-Devices (hereinafter all of these together referred to as the “Services”).
1.2 In addition to these SLC the “General Terms of Use DEHN-Web-Account and Webapplications” (“GTU”) and the “Special Terms of Use Webapplication DEHNsphere” (“STU”) apply.
1.3 DEHN reserves the right to amend these SLC with effect for the future at any time without giving reasons. DEHN will inform its Customers of amendments in a suitable form (e.g. by email sent to the email address provided during registration). Each Customer has the right to terminate the user agreement for the other functions of the Webapplication DEHNsphere within 4 (four) weeks of receipt of the amendment notification from DEHN. If the Customer does not terminate the user agreement within this period, the amended version of the SLC will be deemed to have been accepted. DEHN will point out the significance of the 4-week period to the Customer separately in the amendment notification. Clause 4.8 of the GTU applies to amendments to these SLC which have effects on the Services provided by DEHN and which reduce the functionality of the Services in a decisive manner.
2. Conclusion of agreements
2.1 Use of the Services requires the Customer’s agreement to these SLC and the booking of at least one licence package for a smart DEHN-Device for the other functions of the Webapplication DEHNsphere
2.2 Licence packages for smart DEHN-Devices for the other functions of the Webapplication DEHNsphere can be booked for the Customer by a Webapplications-Administrator of the Webapplication DEHNsphere acting on behalf of the Customer. A Webapplications-Administrator of the Webapplication DEHNsphere is also Webapplications-Administrator for the other functions of the Webapplication DEHNsphere (hereinafter “Webapplications-Administrator”).
2.3 Licence packages for smart DEHN-Devices for the other functions of the Webapplication DEHNsphere can be booked using the booking form provided by DEHN. Once the Webapplications-Administrator has filled in all of the mandatory fields and has agreed to these SLC on behalf of the Customer, the Webapplications-Administrator can send the booking for a specific number of smart DEHN-Devices to DEHN. The user agreement for the other functions of the Webapplication DEHNsphere is concluded between the Customer and DEHN upon DEHN’s receipt of the booking for a licence package for the other functions of the Webapplication DEHNspherefor the number of smart DEHN-Devices specified in the booking.
2.4 After a successful booking in accordance with clause 2.3, the Webapplications-Administrator is entitled to use the Services via the Webapplications-Account.
2.5 Within the scope of the licenses booked for a specific number of smart DEHN-Devices, the Webapplications-Administrator can grant employees of the Customer authorisation for use of the other functions of the Webapplication DEHNphere for that specific number of smart DEHN-Devices. In addition to write and read permissions, the Webapplications-Administrator can also grant Authorised Users the right to grant authorisation to further employees of the Customer for use of the other functions of the Webapplication DEHNsphere for the booked number of smart DEHN-Devices.
2.6 A requirement for the use of the other functions of the Webapplication DEHNsphere as an Authorised User is that a Webapplications-Useraccount for DEHNsphere has been opened for the Authorised User in accordance with clause 2.6 of the STU and that this Webapplications-Useraccount has not been deactivated in accordance with clause 9.2 of the STU.
3. Use of the Services
3.1 In addition to the minimum requirements set out in clause 3.1 of the GTU, to use the Services the Customer must have access authorisation to at least one smart DEHN-Device listed in the Specification of Services available at https://www.dehn-international.com/en/solutions/energy/wind-power/dehnsphere/dehnsphere-service-description with a connection to the DEHNsphere-Cloud and an internet connection and a data transfer rate sufficient to transmit the data.
4. Services provided by DEHN
4.1 The content, scope and quality of the Services is set out exclusively in the Specification of Services available at https://www.dehn-international.com/en/solutions/energy/wind-power/dehnsphere/dehnsphere-service-description.
5. Rights of Use
5.1 Once a booking has been made in accordance with clause 2.3, for the term of the user agreement DEHN grants the Customer a non-exclusive and non-transferable right, limited in time, which cannot be sublicensed, to use the other functions of the Webapplication DEHNsphere in accordance with the provisions of these SLC, the STU and the GTU.
5.2 The Customer grants DEHN a non-exclusive, unrestricted in terms of territory, right of use in the data and information saved in the DEHNsphere-Cloud via the other functions of the Webapplication DEHNsphere for the purposes set out in these STU. This right of use extends to all data and information saved in the DEHNsphere-Cloud by smart DEHN-Devices that the Customer has connected to the DEHNsphere-Cloud, in particular to the data listed in the Specification of Services available at https://www.dehn-international.com/en/solutions/energy/wind-power/dehnsphere/dehnsphere-service-description for the respective smart DEHN-Devices. DEHN is entitled to collect, reproduce, process, use and save this data and information for the purpose of providing the Services as well as to pass it on to service providers.
5.3 DEHN reserves the right to use, evaluate and save the data and information saved in the DEHNsphere-Cloud during and after the end of the user relationship for the purpose of improving the Services, to develop new functions and/or products or for statistical purposes. Data or information will only be made available or passed on to third parties if these third parties are subcontractors or advisors of DEHN who are subject to confidentiality.
5.4 DEHN is entitled to use, further develop or pass on data obtained in connection with the provision of the Services for the purpose of improving the Services, to develop new functions and/or products or for statistical purposes. The data obtained will only be published in an aggregated, anonymised and pseudonymised form.
5.5 DEHN does not use the data and information saved in the DEHNsphere-Cloud to draw conclusions about the Customer’s financial situation, assets or production methods; nor does DEHN disclose this data and information to third parties for this purpose.
5.6 The scope of the rights of use granted for the other functions of the Webapplication DEHNsphere, such as, in particular, the maximum number of smart DEHN-Devices for which the other functions are available, is determined on the basis of the licence packages booked by the Customer.
6. Fees
6.1 The fees due for the Services are calculated on the basis of the prices stated at the time when the licence packages are booked
6.2 DEHN reserves the right to adjust the fee model from time to time. Adjustments only apply when extending or booking new licence packages. Ongoing licence packages are not affected by the adjustments. DEHN will inform the Customer in due time of fee adjustments – at least 6 (six) weeks before the adjustment – so that the Customer, should it not agree to the fee adjustment, can terminate the respective licence package in accordance with clause 7.3 with effect from the end of the term.
6.3 There is a free test phase of 6 (six) months for use of the Services for a licence package covering up to 20 (twenty) smart DEHN-Devices (hereinafter “Test-Phase”). The Test-Phase is only available once per Customer, unless the Customer receives a separate offer for an additional free Test-Phase from DEHN. The Customer can take advantage of the Test-Phase at any time, provided that the Customer’s Webapplications-Account for DEHNsphere has not been terminated at the time the Test-Phase begins. On expiry of the Test-Phase, the user agreement for the licence package for the Test-Phase will terminate automatically without the need for a separate notice of termination. After the end of the Test-Phase, the Customer must book a fee-based licence package for the smart DEHN-Devices covered by the Test-Phase in order to use the other functions of the Webapplication DEHNsphere for these devices for a fee.
6.4 The duty to pay the fees owed arises for each licence package at the time of booking, unless the license package is part of the free Test-Phase according to clause 6.3.
6.5 The duty to pay the fees owed applies regardless of whether the Services are actually used.
6.6 For the event that the Services cease being provided in accordance with clause 4.7 of the GTU, DEHN will reimburse the Customer the fees already paid for the remaining term(s) of the licence packages booked during which the Customer can no longer use the Services as a result of the fact that they are no longer being provided.
6.7 The fees to be paid are due for immediate payment without deductions on receipt of the invoice.
6.8 If the Customer defaults with payment, DEHN has right to claim default interest of 8 % points above the respective base interest rate in accordance with section 288 German Civil Code (Bürgerliches Gesetzbuch – BGB). If DEHN can prove higher default damage, DEHN has a right to claim this higher amount. The Customer has a right to prove that DEHN incurred lower default damage.
6.9 Notwithstanding the provision in clause 6.8, in the case of non-payment or late payment of fees owed, DEHN can block access of the Customer, the Webapplications-Administrator, the Authorised Users and the Guests to the affected other functions of the Webapplication DEHNsphere. DEHN's rights under clause 8.9 of the GTU remain unaffected.
6.10 The Customer does not have the right to offset counterclaims (i) disputed by DEHN or (ii) which are not final and absolute or to assert a right of retention in this respect.
7. Term and termination
7.1 The user agreement for the other functions of the Webapplication DEHNsphere runs for an unlimited term. It only ends when the Customer has terminated all of the licence packages.
7.2 Each licence package for the other functions of the Webapplication DEHNsphere has a term of 12 (twelve) months. The term begins when the licence package is booked in accordance with clause 2.3.
7.3 The term of a licence package is automatically extended on expiry of the term by a further 12 (twelve) months unless the Customer terminates the licence package ordinarily with notice with effect from the end of the term.
7.4 If DEHN grants the Customer a Test-Phase for a licence package when booking, the user agreement for the licence package for the Test-Phase automatically terminates upon the expiry of the Test-Phase, without the need for a separate notice of termination.
7.5 In all other respects ordinary termination of licence packages by the Customer is excluded.
7.6 On termination of the user agreement for the other functions of the Webapplication DEHNsphere, access of the Customer, the Webapplications-Administrators, the Authorised Users and the Guests to the other functions of the Webapplication DEHNsphere affected by the termination will be blocked. The data saved via the other functions of the Webapplication DEHNsphere will remain saved as long as the respective Webapplications-Account for DEHNsphere is active. Four (4) weeks after termination of the user agreement for the Webapplication DEHNsphere, the data saved in the DEHNsphere-Cloud will also be deleted. Until the end of these 4 (four) weeks, DEHN will make it possible for the Customer to export the content contributed by the Customer in a customary standard format.
